STANDING RULES

REVISED 10-19-06  

The following article known as "Standing Rules" shall be adopted by the current Board of directors (BOARD) of the Kiwanis Club of Lake Murray (CLUB) to be utilized for the administration of CLUB affairs. These RULES shall be amended, changed or adopted by the incoming BOARD at their first meeting.

These RULES shall be binding upon the BOARD but may be amended, suspended or declared invalid, individually or in their entirety so long as such actions are not in conflict with the Bylaws of the CLUB, the District or International. Such amendments, changes or invalidation shall be at the direction of a majority vote of the BOARD (quorum required).

 ARTICLE 1

Bank Accounts - The President, President Elect, Vice President, Secretary and Treasurer shall be authorized to sign signature cards requiring two signatures for the CLUB's checking account.

 ARTICLE 2
Funds Depository - The BOARD shall select the official depository(s) of CLUB and
FOUNDATION funds, upon recommendation of the Treasurer.

 ARTICLE 3
New Member Fees - The new member fee shall be $50.  There will be no charge for the first six months of membership.  Following the six-month gratis period, dues will be charged at $10 per month for the balance of the year subject to a waiver by the board.

 ARTICLE 4
Annual Budget - The BOARD shall use the prior Kiwanis year budget as a guideline
until a new budget is adopted not later than the November BOARD meeting.

 ARTICLE 5
Projects - The BOARD shall:

 Assume all incomplete or continuing projects approved by the prior BOARD and provide suitable provisions for same in their budget.

 A- Adopt service projects that will identify the CLUB by name or implication.

B- Give priority consideration to projects that rely on our CLUB's participation.   

C- Not make policy distinctions between projects. Only the BOARD may select projects. No individual or committee may select one project over another unless assigned to do so by the BOARD.

D- Not make general donations to other organizations but may upon committee request allocate funds to support specific projects of other organizations such as, but not limited to, Key Club, Builders Club, Boy Scouts, Girl Scouts, Campfire Girls, School Districts, Churches, or Youth Athletic Teams.   

E- Direct the President to maintain a calendar of events to avoid conflicts.   

F- Direct both services and fund raising projects to in-depth scrutiny, fact-finding and recommendation by a committee so assigned by the BOARD.   

G- The BOARD pledges support for any existing or proposed Key Club or Builders Club.

H- Accept only projects of substantial merit in the judgment of a committee as recommended by that committee for adoption. Size of the project does not determine its merit as both costly and difficult projects as well as no cost and easily accomplished projects may well fit the objects of Kiwanis and therefore have merit.

I- All possible relevant facts and requirement together with committee recommendations shall be submitted to the BOARD. Advance planning is mandatory for timely presentation.  

J- Appear at special BOARD meetings as called by the President for emergency projects that require other extraordinary action that cannot wait for a scheduled BOARD meeting. Such projects do not include those not previously acted upon because lack of information precluded regular BOARD action.

K- Use none of the above to prevent an otherwise worthwhile project from being undertaken. The CLUB only exists to accomplish community service projects.

L- A representative of an organization receiving funds from the CLUB will ordinarily be presented the check at a regular Club Meeting.

 ARTICLE 6

No project shall be considered until prior approval is obtained by the appropriate committee.

 ARTICLE 7   

All payments from CLUB accounts must be budgeted and/or approved by the BOARD prior to payment.

ARTICLE 8   

Division Officers Fund - The BOARD may support the Division 31 Lt. Governor at the rate of Four Dollars ($4) per member, the Lt. Governor Elect at the rate of Fifty Cents ($.50) per member, the Division 31 Key Club Lt. Governor at the rate of Fifty Cents ($.50) per member, and any Division 31 elected International Officer of Key Club or Circle K at the rate of Fifty Cents ($.50) per member with all funds to be dispersed by the Lt. Governor of Division 31.

 ARTICLE 9   

CLUB Fund Raising - Projects that require pre-sale of tickets or orders shall be limited to no more than Three (3) per year. Any requests for additional projects of that type must have general membership approval in addition to the BOARD.

 Further;

A- Such projects shall not be a mandatory assessment for members.

B- Members accepting responsibility for tickets, orders or merchandise will be expected to complete all transactions or deliveries within the stated deadline and to personally pay for or return such items. No donations of such items without prior approval of the appropriate committee.

C- It is desired that all members support and participate in all CLUB authorized projects to assure the success of each one.

D- There will be no solicitation by or for outside organizations made to the CLUB and /or members without the approval of the BOARD.

ARTICLE 10   

Spiritual Aims Authorization - The BOARD authorizes said committee to spend up to One Hundred Dollars ($100) for each occasion involving the death or illness of a member or the immediate family of a member for the purpose of CLUB recognition without prior approval of the BOARD.

 ARTICLE 11

Nominating Committee - The Immediate Past President shall be the chairman of the nominating committee with three additional members approved by the BOARD.

ARTICLE 12
Annual Financial Reports - The BOARD shall designate the Treasurer or a designee

named at the first meeting of the BOARD to prepare the required annual reports and tax returns for both the CLUB and FOUNDATION which shall be timely submitted to the BOARD for approval. A fee to be authorized by the BOARD as payment for the preparation of such reports and returns.

ARTICLE 13  

Secretary Expenses - The BOARD finds that the Secretary bears an inordinate burden of expense to a greater extent than any other duly elected officer of the CLUB and to encourage qualified and dedicated Kiwanians to continue as Secretary from time to time, the BOARD wishes to reimburse the Secretary for expenses incurred in serving in this volunteer position. The BOARD has taken into consideration existing Corporation Code Sections 7231.5, 7235, and 7236 pertaining to relief from civil liability of directors and officers of non-profit corporations and wishes to avoid having the Secretary lose his or her exempt status as a volunteer by being compensated within the meaning of those sections.

The BOARD therefore

authorizes reimbursement of expenses as set forth below:
The duly elected and installed Secretary of the CLUB shall be entitled to receive a free breakfast at all regularly scheduled general meetings of the CLUB.

 ARTICLE 14

Honorary Members - The BOARD may name any Honorary member of the CLUB for the current Kiwanis year at their first BOARD meeting. Honorary members will receive the CLUB's bulletin.

 ARTICLE 15

Convention Reimbursement/Attendance -
International - Only convention registration of the President and President Elect will be reimbursed. Per Diem and transportation expenses will be limited to $300 each.

District - Will be paid for CLUB delegates as follows:

A- Registration in full.   

B- Transportation in an amount not to exceed $.36 per mile, round trip, or shall not exceed current federal guidelines per mile.

Midwinter Conference - Registration (including lunch) may be paid for those CLUB members attending.


ARTICLE 16

Senior Membership Participation - A member to this status shall attend a minimum of twelve (12) functions per year including meetings, socials, projects and special events. This requirement may be disregarded if the member is in poor health or out of town and such is recommended by the Membership Committee. Lesser participation shall be reviewed by the Membership Committee with recommendations submitted to the BOARD in February and August.

 ARTICLE 17

Membership Review - The Membership Committee shall review all members for dues payments and attendance and shall make any recommendations for BOARD action in this regard in February and August. Any member delinquent in dues for the prior billing period shall be suspended according to the CLUB's bylaws.

ARTICLE 18

Incoming President's Responsibilities - The Incoming President shall submit to the BOARD and CLUB proposed goals for his/her term of office and shall appoint a Safety Coordinator to approve all projects for insurance and safety purposes. The Safety Coordinator will be responsible for completing all insurance required forms for approval by the Secretary.

 ARTICLE 19

Leaves of Absence - The BOARD may approve from time to time requests for member leaves of absence due to valid business, health, or personal reason. In no case will the leave be granted for greater than six (6) months.

 ARTICLE 20

Drawing - Revenue from the CLUB's weekly opportunity drawing shall be managed by the Treasurer within the following guidelines:

A- One half of the daily gross revenue shall be deposited in the CLUB's administration account.

B- One fourth of the daily gross revenue shall be paid to the holder of the winning ticket.  The remaining quarter of the daily gross revenue shall go to another opportunity drawing.  The winner of that drawing must be an active Lake Murray Kiwanis club member and will be determined by the random draw of the a selected card from a deck of cards.  If the selected card is not drawn, that money will accrue without interest until the winning card is drawn.

C- The Treasurer shall manage fine monies collected with the total amount being deposited in the CLUB's administration account unless otherwise agreed upon by the BOARD.

 ARTICLE 21

Guests Breakfasts - If a guest is a prospective CLUB member, the CLUB will assume the cost of three breakfasts. The cost of the breakfast for guests who are not considered prospective members should be paid for by the guest or the member inviting the guest.

 ARTICLE 22
Composition of Board of Directors - The eight (8) Directors recommended to the BOARD for election should in general include four (4) experienced members and four (4) newer members.

 ARTICLE 23

Membership Development - Applications for membership, following submission of written application that includes endorsement by the member's sponsor and one additional member, shall be submitted to the Membership Committee for new member orientation and recommendation to the BOARD. The Membership Development Committee may :

A. Select two college seniors from local four-year colleges to receive a one-year honorary CLUB membership.
B. The faculty sponsors of registered CLUB youth clubs will receive honorary memberships while assigned to the youth club.
C. The application of any prospective member age 30 or younger will have the first two year's dues waived and pay the initiation cost only. Should the prospective member age 30 or younger have been a member at anytime of a registered Kiwanis youth group the initiation fee will also be waived.
 

ARTICLE 24

Committees - Each member is encouraged to associate with at least one (1) Committee. Each Committee shall consist of at least three (3) members. Each Committee is encouraged to meet as necessary.

 ARTICLE 25

These rules, once approved by the Incoming BOARD, must be posted to the club website no later than October 31 of the new Kiwanis year.
